1. What AdKit delivers

AdKit provides access to agency ad accounts on advertising platforms, passes ad credit on to those accounts, and offers the portal in which you see spend, invoices and requests. AdKit does not create campaigns and is not a party to the platform’s rules.

2. Who these terms apply to

AdKit is for businesses only. You sign up in the name of a company and provide a valid registration and VAT number. These terms apply to every agreement between you and us, including top-ups you make later. Your own terms do not apply unless we have accepted them in writing.

3. Requests and review

You request an account in your company’s name. We review within 24 hours and may decline a request without giving reasons, in particular for the categories on the Prohibited categories page. After approval the account is usually ready within 2 hours; if it depends on the advertising platform, it can take longer.

4. Top-ups and service fee

Every top-up is a separate order that we pass on after receiving your payment. On every top-up we charge the service fee of your plan; VAT on that according to your country. Ad credit is prepaid balance in euros on the ad accounts we manage for you. You can only use it to advertise through those accounts. It is not money we hold for you: we pay it on to the advertising platform, and that is where it sits. Credit has no cash value, cannot be exchanged for money or for another service, earns no interest, and can expire if you do not pay an invoice — see article 8. You choose your own plan and can switch or cancel every month in the portal; the trial period starts on approval.

5. Paying, paying late and reversals

You pay for your subscription and top-ups in advance. The due date on the invoice is a strict deadline: if you do not pay by then, you are in default without a reminder and we may charge the statutory commercial interest and collection costs. From that day the schedule in article 8 runs: suspension on day 1, a reminder on day 3, and on day 15 the end of the agreement, whereby your ad credit expires up to a maximum of € 1,000. We may set off what you owe us against your ad credit. If you have a question about a charge, raise it with us first; we reply within two working days. If you reverse a payment that is in fact due — through your bank or your card company — that is a failure to perform under this agreement. The day we receive that reversal then counts as a new due date, and the schedule in article 8 starts running again from that day. We may suspend the service immediately, claim the amount again and pass on the costs the reversal causes us: our payment provider’s dispute fee, bank charges, collection costs and interest. We may contest the reversal and will use your acceptance of these terms, your requests, your top-ups and your spend as evidence.

6. Blocking and replacement

An advertising platform can block an account; AdKit has no say in that. If an account through AdKit is blocked, we will as a rule have a replacement account ready within 24 hours of seeing the block, provided you advertised within the rules; if it is stuck at the platform, it can take longer. What happens to unspent credit depends on the platform and our supplier; we will tell you within 24 hours what can come back. All of this applies without prejudice to article 8: if there is a payment arrears, the schedule there simply continues, and credit that expires under article 8 does not move to a replacement account.

7. Refunds and cancelling

If you paid for a top-up we have not passed on yet, you get that amount back via the same payment method. Credit that is already on your ad account has been paid to the platform; we cannot return that to a bank account. It stays on your account and can be moved to another account of yours on request, unless it expires under article 8. Service fees on a top-up we have passed on are not refunded. Your subscription runs monthly and you can cancel whenever you want. If you cancel yourself while nothing is outstanding, your credit remains yours. These terms are the agreement between you and us; they apply for as long as you have an account with us.

8. Suspension and termination

We may suspend your access or terminate the agreement if you do not pay, if you advertise in a category that is not allowed, if you break the rules of an advertising platform, or if it turns out you provided incorrect details. We always say why. For late payment a fixed schedule applies, counted from the due date of the invoice. On the due date itself we send you an email: update your payment today, tomorrow the service locks. If you do not pay, we suspend the service the next day. You can then no longer top up, you cannot request a new account and your ads stop running; logging in keeps working and your data, your credit and your invoices stay visible in the portal. On day 3 we send a reminder by email and, if you have given us a number, also via WhatsApp, stating the outstanding amount and the date on which your credit expires. If the invoice is still open on day 15 after the due date, the agreement ends and the ad credit that is on your ad accounts at that moment expires, up to a maximum of € 1,000. If there is less than € 1,000, the entire balance expires. If there is more, € 1,000 expires and the rest stays yours: it remains on your ad account, there is no second expiry date on it, and once you have paid what is outstanding we will move it to another account of yours on request. We record the day 15 balance in the portal and email you that same amount, so you can check what it is based on. From the expired amount we first set off what you owe us: the outstanding invoice, the statutory commercial interest and the collection costs. What then remains within that € 1,000 is a fixed compensation for the costs the termination causes us — closing and unwinding your accounts, our supplier’s costs and our own work — and beyond that we claim nothing more. If your debt is higher than the expired amount, the difference remains payable. If you pay everything outstanding before day 15, you keep your entire credit and we switch the service back on within one working day. You can cancel at any time in the portal; if you cancel yourself while nothing is outstanding, your credit remains yours under article 7.

9. Your data

What we do with your data is set out in the privacy statement. If we process data on your behalf — for example when you have your advertising figures loaded into the portal — we enter into a data processing agreement for it. The portal and everything we build for it remain ours; your ads, your brand and your campaign data remain yours.

10. Force majeure

If we cannot deliver because of something beyond our control — an outage, policy change or block at an advertising platform, at our supplier or at a payment service, a government measure or a prolonged internet failure — we owe nothing for as long as it lasts. If it lasts longer than thirty days, either of us may end the agreement; what you paid in advance and has not been delivered is returned to you.

11. Changes to these terms

We may change these terms. We announce a change by email at least thirty days in advance and ask you to accept it again at your next sign-in. If you disagree, you can cancel free of charge before the effective date. Every version has a number and a date, so it is always clear which version you accepted.

12. Liability, law and language

You are contracting with Kingsbridge Oakmont VOF, Chamber of Commerce 97648639, VAT NL868157119B01, trading as The E-Billionaires Club; AdKit is a service of that business. AdKit is not liable for revenue you miss due to a block, restriction or outage at an advertising platform. Our liability is limited to the higher of two amounts: the service fees you paid us in the three months before, or € 2,500. That limit does not apply to refunding a top-up we did not pass on. Dutch law applies to these terms; disputes go to the court of The Hague. These terms exist in several languages; if they differ, the Dutch text prevails.
